Terms of Service

1. Acceptance of Terms

By accessing or using MuziQ ("Platform", "MuziQ", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any campaign-specific terms presented at the time you create or join a campaign. If you do not agree, you must not use the Platform. These Terms apply to all artists, creators, and other users ("you" or "User").

MuziQ is a marketplace and software service. We are not a record label, talent agency, advertising agency, broadcaster, or a party to any agreement directly between you and a third-party platform such as TikTok, Google, Apple, Spotify, or Stripe. We do not own creator content and we do not own artist music.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Platform. By registering, you represent and warrant that you (a) are of legal age, (b) have full power and authority to enter into binding contracts, (c) are not located in, under the control of, or a national or resident of any country or region subject to comprehensive U.S. sanctions, and (d) are not on any U.S. government list of prohibited or restricted parties.

Artists must own or control all rights necessary to authorize the use of the music they upload, including master recording rights, composition rights, and any required clearances. Creators must operate genuine, authentic social media accounts and must not have been banned from the platforms where they intend to post.

3. Account Registration

You must provide accurate, current, and complete information during registration and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@muziqcollab.com of any unauthorized use. We are not liable for losses resulting from compromised credentials you failed to protect.

We support email/password sign-in and Google OAuth. You may also connect your TikTok account via OAuth 2.0 to enable a verified profile, KPI tracking, and the auto-repost feature. Connecting a third-party account never transfers ownership of your content to MuziQ.

4. Platform Overview

MuziQ connects music artists with social media creators for paid promotional campaigns. Artists fund campaigns with a budget and brief; creators discover campaigns, join them, post content on TikTok (and other supported platforms), and earn payouts based on verified performance.

Key mechanics:

  • Escrow: Artist budgets are charged at campaign creation and held in escrow by our payment processor until earned by creators or refunded under Section 7.
  • KPI-based payouts: Creators are paid against measurable KPIs (such as views, likes, comments, shares) tracked via TikTok's official APIs or, where API access is unavailable, via verified public post URLs.
  • Platform fees: A 10% service fee is added to the artist at checkout, and a 10% service fee is withheld from each creator payout.
  • Verification: All submissions are screened for authenticity, brief compliance, community-guideline compliance, and metric integrity before funds are released.

5. Campaigns and Submissions

5.1 Artist Responsibilities

Artists represent and warrant that they (a) own or have obtained all rights, licenses, consents, and clearances necessary for the music, artwork, videos, and other materials they upload, including from co-writers, featured artists, sample owners, producers, labels, publishers, and PROs; (b) will not upload material that infringes any third party's rights; and (c) will write briefs that are lawful, accurate, and not misleading. Once a campaign has at least one approved submission, the budget for that submission is non-refundable.

5.2 Creator Responsibilities

Creators must (a) only join campaigns they genuinely intend to fulfil, (b) produce original content that follows the brief, (c) clearly disclose paid partnerships using TikTok's branded-content toggle and any disclosures required by the FTC, ASA, or other applicable regulator (for example "#ad" or "Paid partnership"), (d) submit only authentic post URLs from accounts they own, and (e) comply with the TikTok Community Guidelines and the rules of any other platform on which they post.

5.3 Acceptable Use Policy — Prohibited Content and Conduct

This Acceptable Use Policy ("AUP") is part of these Terms and applies to every campaign, brief, upload, submission, comment, message, profile, and any other content or activity on the Platform. You may not upload, submit, promote, monetize, fund a campaign around, or otherwise use the Platform to distribute any of the following:

  • Adult content and services. Nudity, sexually explicit imagery, pornographic material, sexual acts, fetish content, escort or companionship services, subscriber-only nude images, and adult live audio/video chat. Artistic partial nudity that complies with TikTok's Community Guidelines is only permitted where TikTok itself permits it; MuziQ will not fund or pay out on submissions that TikTok removes or restricts as sexual content.
  • Intellectual property or proprietary rights infringement. Content that infringes any third party's copyright, trademark, patent, trade secret, right of publicity, or other proprietary right. This includes uploading music, artwork, video, samples, or beats you do not own or have not fully cleared (including from co-writers, featured artists, sample owners, producers, labels, publishers, and PROs), and impersonating another artist, brand, or creator.
  • Copyright-infringing content. Leaked, unreleased, or bootlegged music; ripped albums; pirated audio or video; unauthorized remixes; unlicensed use of another artist's master recording or composition; and any distribution of content in violation of a rightsholder's exclusive rights.
  • Violent extremism and hate speech. Content that engages in, encourages, promotes, glorifies, or celebrates unlawful violence, terrorism, or violent extremist organizations; and content that attacks, dehumanizes, or promotes hatred toward any group or individual based on race, ethnicity, national origin, religion, disability, disease, age, sexual orientation, gender, gender identity, immigration status, or any other protected or immutable characteristic.

You also may not, and may not assist others to: use bots, click farms, view exchanges, incentivised traffic, or paid traffic that is not disclosed to MuziQ; misrepresent your identity, follower count, or post performance; reuse content from another campaign without permission; upload content that is unlawful, defamatory, harassing, or that endangers minors (including any child sexual abuse material, which will be reported to NCMEC and law enforcement); promote regulated goods (firearms, controlled substances, tobacco, prescription drugs, gambling) in violation of applicable law or TikTok's rules; reverse-engineer, scrape, or interfere with the Platform; or circumvent any verification, payment, moderation, or rate-limiting system.

This AUP is published at muziqcollab.com/terms#acceptable-use and applies to artists, creators, and all other Users. Violating this AUP is a material breach of these Terms.

5.4 Content Screening, Detection, and Demonetization

MuziQ operates a combined automated and human-review moderation program to detect and demonetize content that violates the AUP:

  • Pre-publication screening. Every campaign brief, uploaded audio, uploaded video, and cover artwork is scanned before it goes live. We use automated classifiers (including audio fingerprinting to flag potentially infringing recordings, and image/video classifiers to flag nudity, sexual content, and violent/extremist imagery) together with keyword and metadata heuristics on titles, descriptions, and briefs.
  • Submission verification. Every creator submission (post URL and any uploaded video) is re-screened against the same classifiers and manually reviewed by our moderation team before escrow is released. Submissions that fail screening are rejected and no payout is issued.
  • Ongoing monitoring. We fetch public engagement metrics from TikTok once per day for active campaigns and re-check whether the underlying post has been removed, made private, or actioned by TikTok for community-guideline violations. Posts that have been removed or restricted are automatically demonetized (no further earnings accrue) and any pending payout for that submission is withheld.
  • Enforcement. Content that our systems or moderators determine violates the AUP is removed from the marketplace, demonetized (no escrow released), and where appropriate the associated campaign is paused or cancelled with refund to the artist and forfeiture of any fraudulent earnings.

5.5 Reporting Violations — Notice and Takedown

Any end-user, rightsholder, or other aggrieved party may report content or conduct they believe violates this AUP or infringes their rights. We aim to acknowledge reports within 2 business days and to action valid reports within 7 business days.

  • In-product reporting. Signed-in Users can report any campaign, submission, profile, or message using the "Report" control available in the campaign, profile, and submission views. Reports are routed to our moderation queue and reviewed by staff.
  • Copyright / DMCA takedown notices. Email dmca@muziqcollab.com with: identification of the copyrighted work, the URL of the allegedly infringing material on MuziQ, your contact details, a good-faith-belief statement, an accuracy/authority statement under penalty of perjury, and your physical or electronic signature. We will remove or disable access to material identified in a valid notice and notify the uploader, who may submit a counter-notice.
  • Trademark and other IP. Email legal@muziqcollab.com with proof of the right (registration or common-law evidence) and the URL of the infringing material.
  • Other AUP violations (adult content, hate speech, violent extremism, fraud, impersonation, harassment, minor safety): email trust@muziqcollab.com or use the in-product report control. Child sexual abuse material is reported to the National Center for Missing & Exploited Children (NCMEC) and law enforcement.

5.6 Repeat Violators — Strike Policy

MuziQ operates a written repeat-violator policy applied consistently to every User account, including any linked or beneficial-owner accounts:

  • First violation: content removal, demonetization of the associated submission or campaign, and a written warning delivered by email and in-app. The User is required to acknowledge the AUP before their next upload or submission.
  • Second violation within 12 months: content removal, demonetization, forfeiture of pending earnings tied to the violation, a 30-day suspension of the ability to fund campaigns (artists) or submit to campaigns (creators), and withholding of payouts pending review.
  • Third violation within 12 months, or any single egregious violation: permanent termination of the account, forfeiture of all pending earnings traceable to the violation, clawback of prior payouts obtained through the violation, refund of remaining artist escrow, and permanent ban from creating a new MuziQ account. Egregious violations that trigger immediate permanent termination on the first instance include (without limitation) child sexual abuse material, credible threats of violence, doxxing, terrorist or violent-extremist content, coordinated fraud, and willful large-scale copyright piracy.
  • Circumvention. Attempting to evade an enforcement action (including creating a new account, using a nominee, or transferring an account) is itself an egregious violation and results in immediate permanent termination of every associated account.
  • Appeals. Users may appeal any enforcement action within 14 days by emailing trust@muziqcollab.com. Appeals are reviewed by a moderator who was not involved in the original decision.

6. TikTok Integration

If you connect your TikTok account, you grant MuziQ the permissions you select during the TikTok consent screen and authorize the following uses, strictly limited to operating the Platform:

  • Login Kit (user.info.basic): read your open_id, union_id, avatar, and display name to create or sign you in to your MuziQ account.
  • Profile (user.info.profile): read your username, profile deep link, and follower/following/likes/video counts so creators have a verified profile in the marketplace and artists can vet reach before inviting you to paid collabs. Refreshed at sign-in and once per day.
  • Content Posting API (video.publish — Direct Post): for the optional auto-repost feature, publish an artist's rights-cleared promo video directly to your TikTok profile via the PULL_FROM_URL Direct Post flow. You explicitly opt in per campaign before any post is made; the privacy level offered is the one TikTok returns for your account via creator_info. MuziQ never modifies your account settings and never deletes content.
  • Research / Video Query (video.list): once per day per active campaign, read public engagement metrics (view_count, like_count, comment_count, share_count, create_time) for posts you submit to a campaign, scoped by your open_id and the campaign's TikTok sound or post ID. We do not query videos outside active campaigns.

For UGC campaigns, the artist supplies a TikTok sound; MuziQ shows you a QR code and deep link, and you film the video inside TikTok. Nothing is recorded or uploaded through MuziQ for that flow.

You may disconnect TikTok at any time from your profile settings. Disconnection revokes our OAuth grant, stops future auto-reposts and API metric fetches, and purges the TikTok-derived fields described in our Privacy Policy. Past campaign records (submission URLs, verified payouts, and the metric snapshots that justified them) are retained as required by Sections 7 and 13.

TikTok is an independent third party. Your use of TikTok through MuziQ is also subject to the TikTok Terms of Service and Privacy Policy. We are not responsible for TikTok outages, API changes, rate limits, or account actions taken by TikTok.

7. Payments, Escrow, Fees, Payouts, and Refunds

7.1 Payment Processing

All card and bank transactions are processed by Stripe, Inc. and its affiliates ("Stripe"). By creating a campaign or requesting a withdrawal you also agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. MuziQ does not store full card numbers or full bank account numbers on its servers.

7.2 Escrow

When an artist publishes a campaign, the campaign budget plus the 10% artist service fee is charged immediately and held by our payment processor as escrow earmarked for that campaign. Escrowed funds are not MuziQ's general assets, do not earn interest for the artist, and are released only as creators earn payouts under the campaign's KPI schedule, or are refunded under Section 7.5.

7.3 Fees

  • Artist service fee: 10% of the campaign budget, added at checkout.
  • Creator service fee: 10% withheld from each creator payout before it lands in the creator wallet.
  • Payment processing: Stripe processing, currency conversion, and payout fees may apply and are passed through at cost.
  • Chargeback fee: If a payment is reversed by the cardholder's bank, the chargeback fee assessed by Stripe is the responsibility of the party that caused the chargeback.

7.4 Creator Payouts

Verified KPI earnings accrue to the creator's in-platform wallet, typically synced once per 24 hours from TikTok's metrics. Creators may request a withdrawal once their wallet reaches the minimum threshold shown in the dashboard. Withdrawals are paid via Stripe Connect (or other supported rails) to the bank account or wallet the creator has verified. Processing times are typically 3–7 business days, depending on the destination country and method. Creators are responsible for keeping payout details accurate; payouts sent to incorrect details supplied by the creator are not recoverable by MuziQ.

7.5 Refunds and Cancellations

An artist may cancel a campaign and receive a full refund of escrowed budget (minus non-refundable processing fees) only if no creator has been approved on the campaign. Once any submission has been approved or any payout has accrued, the portion of the budget earned by creators is non-refundable. If a campaign ends with unspent escrow, the remainder is refunded to the artist's original payment method, minus the 10% artist service fee on the earned portion only.

7.6 Taxes

Each User is solely responsible for determining and paying any taxes (including income tax, VAT/GST, and sales tax) arising from their use of the Platform. Creators receiving payouts may be required to provide tax documentation (such as a W-9, W-8BEN, or equivalent). We may withhold or report payments where required by law and may suspend payouts until valid tax information is on file.

7.7 Dormant Wallets

Wallet balances unused for 24 consecutive months may be treated as dormant and handled in accordance with applicable unclaimed-property laws. We will email the registered address before any such handling occurs.

8. Intellectual Property and Licenses

Artist music and assets. Artists retain all ownership and IP rights in the music, artwork, videos, and other materials they upload. By uploading content to a campaign, the artist grants (i) MuziQ a worldwide, royalty-free, non-exclusive license to host, store, display, transcode, and transmit the content solely to operate the Platform and the campaign, including delivery to participating creators via TikTok's Content Posting API; and (ii) each creator who joins the campaign a limited, non-exclusive, revocable license to use the supplied music or video solely to produce and post content that fulfils the brief, for the duration of that campaign.

Creator content. Creators retain ownership of the original content they produce. By submitting a post URL to a campaign, the creator grants (i) MuziQ a non-exclusive license to fetch, store, and display public engagement metrics and a thumbnail/preview of the post for verification, reporting, and case studies; and (ii) the associated artist a non-exclusive, royalty-free, worldwide license, for the duration of the campaign plus 12 months, to repost, embed, and use the submitted post (in unmodified form, with creator credit) for organic promotion of the relevant release. Paid media (boosted ads, Spark Ads) requires the creator's separate written consent.

Platform IP. MuziQ, the MuziQ name, logo, and the underlying software, designs, and trademarks are owned by us or our licensors and are protected by intellectual property laws. Nothing in these Terms transfers any rights in our IP to you.

DMCA / copyright complaints. Send takedown notices to dmca@muziqcollab.com with: identification of the work, the allegedly infringing material and its URL, your contact details, a good-faith-belief statement, an accuracy/authority statement under penalty of perjury, and your physical or electronic signature. Repeat infringers will be terminated.

9. Verification and Fraud Prevention

We verify submissions before releasing escrow. Verification may include API-based metric fetching (for connected accounts), public-link validation, audience-quality scoring, brief compliance review, and manual moderation. Submissions that fail verification — including posts that are private, deleted, edited to remove the campaign sound, or that violate platform community guidelines — will not be paid.

Suspected fraud (including fake engagement, bot traffic, view manipulation, account farming, impersonation, false metric submissions, sock-puppet accounts, or coordinated inauthentic behavior) will result in submission rejection, forfeiture of pending earnings, immediate suspension, permanent termination, clawback of prior payouts traceable to the fraud, and referral to platform partners and law enforcement where appropriate.

10. Disputes Between Users

If a dispute arises between an artist and a creator (e.g. brief compliance, metrics, payout eligibility), either party may open a dispute from the campaign dashboard within 14 days of the disputed event. MuziQ will review the submission, metrics, brief, and in-platform communications and issue a determination. Our determination is final and binding for amounts under USD 500. For larger amounts, either party may escalate to binding arbitration under Section 16.

11. Termination

You may terminate your account at any time from your profile settings. We may suspend or terminate your account, withhold payouts, or refuse service, immediately and without notice, if we reasonably believe you have violated these Terms, engaged in fraud, exposed MuziQ or other Users to legal, financial, or reputational risk, or if required by law or by a third-party platform such as TikTok or Stripe.

On termination: (a) verified earnings already in your wallet will be paid out subject to Section 7; (b) unspent campaign escrow will be refunded to the artist subject to Section 7.5; (c) Sections 5, 7–9, 12–17 survive termination.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Platform will be uninterrupted, secure, or error-free, that any defects will be corrected, or that the Platform is free of viruses or other harmful components.

We do not guarantee campaign results, virality, sound usage, audience reach, payout amounts, or any specific KPI outcome. Performance depends on creator output, audience behavior, and third-party platform algorithms outside our control.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUZIQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT OF FEES YOU PAID TO MUZIQ (OR EARNED THROUGH MUZIQ, NET OF FEES) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD 100. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless MuziQ and its affiliates, officers, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or relating to (a) your content, (b) your use of the Platform, (c) your violation of these Terms or any law, (d) your violation of any third party's rights (including IP, privacy, publicity, or contract rights), or (e) any dispute between you and another User or third-party platform.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified by email or by a prominent notice on the Platform at least 14 days before they take effect (or immediately where required by law, regulation, or a third-party platform). Continued use after the effective date constitutes acceptance.

16. Governing Law and Arbitration

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, conducted in English, by a single arbitrator. You and MuziQ waive any right to a jury trial and to participate in a class action. Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

17. Miscellaneous

These Terms, together with our Privacy Policy and any campaign-specific terms, are the entire agreement between you and MuziQ regarding the Platform. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship.
